1. About Transcribe.so

Transcribe.so is a product of Sunmoon.co Pte. Ltd. (UEN: 202432099D), a company registered in Singapore at 20A Tanjong Pagar Road, Singapore 088443 ("Transcribe.so," "we," "us," "our"). We operate the website transcribe.so and related services (collectively, the "Service"). The Service provides AI‑powered transcription, analysis, and search capabilities for audio and video content, including YouTube videos.

By accessing or using the Service, you agree to be bound by these Terms of Service (the "Terms"). If you do not accept the Terms, do not use the Service.

2. Eligibility & Account

  • You must be at least 18 years old or have parental/guardian consent.
  • You must provide accurate, current information when creating an account.
  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • You may not use the Service for any illegal purpose or to violate any laws in your jurisdiction.

3. Service Description

The Service processes audio and video content to provide:

  • Speech‑to‑text transcription using AI models including GPT‑4o Transcribe, OpenAI Whisper Large V3, AssemblyAI Universal, Gemini, Voxtral Mini, and ElevenLabs Scribe v2
  • Timestamped utterances and speaker identification (diarization)
  • AI‑powered topic detection and chapter segmentation
  • Semantic embeddings for search capabilities
  • AI‑generated summaries, quotes, and takeaways
  • Question‑and‑answer functionality with citations
  • Entity extraction and speaker identification
  • Cloud storage for audio, text, and processed files

The Service also enables you to submit YouTube URLs for processing. When you do so, the Service uses yt‑dlp, a third‑party open‑source tool, routed through proxy infrastructure, to download the audio track from the specified YouTube video on your behalf. You acknowledge and agree that this download is performed at your direction and for your personal use.

4. Credits, Billing & Payments

4.1 Subscription Plans & Monthly Credits. The Service offers optional monthly subscription plans (e.g., Basic, Plus, Pro). Each plan includes a pool of monthly transcription credits that reset at the start of each billing cycle. Monthly plan credits are use‑it‑or‑lose‑it and do not roll over to the next cycle.

4.2 Prepaid Wallet Credits. You may also purchase prepaid wallet credits ("wallet top‑ups"). Wallet credits do not expire and persist in your account until used. You may use the Service on a pay‑as‑you‑go basis with wallet credits only, without subscribing to a plan.

4.3 Credit Deduction Order. When you process content, we always deduct from your monthly plan credits first. Once your plan credits are exhausted, any remaining cost is deducted from your prepaid wallet credits.

4.4 No Postpaid Billing. The Service operates on a prepaid‑only model. You must have sufficient available credits (plan credits + wallet credits) before starting a transcription job. There are no surprise invoices or postpaid overage charges.

4.5 Pricing. Transcription pricing is charged per minute of processed audio/video and varies by AI model, workflow settings, and subscription tier. Subscription plans may include lower overage rates compared to pay‑as‑you‑go pricing. Current pricing details are displayed before you submit a job.

4.6 Credit Holds. When you submit content for processing, we estimate the cost and place a temporary hold on your credit balance. Upon completion, the final charge is calculated based on actual usage (rounded up to the nearest minute, with a minimum charge), and any excess hold is released.

4.7 Non‑Refundable Credits. Credits are non‑refundable. Once purchased, plan subscriptions and wallet top‑ups are not eligible for refunds. If a processing job fails due to a Service error, the hold is automatically released and no charge is made.

4.8 Failed Jobs. You will not be charged for jobs that fail due to Service errors. You may be charged for jobs that fail due to invalid input, inaccessible URLs, or violations of third‑party terms of service.

4.9 Subscription Changes. You may upgrade or downgrade your subscription plan at any time. Plan changes take effect according to your billing cycle and Stripe's subscription management. Upon termination or downgrade, any remaining monthly plan credits for the current cycle are forfeited.

4.10 Pricing Changes. We reserve the right to change subscription plan pricing, included credit amounts, and per‑minute rates at any time. Existing wallet credits in your account will not be affected by price changes. Changes to subscription pricing take effect at the next billing cycle.

4.11 Payment Processing. Payments are processed through Stripe. You agree to Stripe's terms of service and privacy policies.

4.12 Taxes. You are responsible for all applicable taxes. Prices shown may not include applicable taxes.

5. Content & Acceptable Use

5.1 Your Content. When you submit URLs or upload content for processing, you represent and warrant that:

  • You own the content or have all necessary rights and permissions to process it
  • Processing the content does not violate any third‑party rights, including copyright, trademark, privacy, or publicity rights
  • The content does not contain illegal material

5.2 Third‑Party Content & YouTube Downloads. If you submit YouTube URLs or other third‑party content, you are solely responsible for ensuring you have the right to process that content. You must comply with YouTube's Terms of Service, copyright laws, and all applicable third‑party platform policies.

When you submit a YouTube URL, you instruct the Service to download the audio track from that video using yt‑dlp (an open‑source media downloader) routed through proxy servers operated or contracted by Transcribe.so. By submitting a YouTube URL you represent and warrant that:

  • You have the legal right to access and download the audio for personal transcription purposes
  • Your use complies with all applicable copyright and intellectual property laws
  • You accept sole responsibility for any consequences arising from the download, including any claims by the content owner or YouTube
  • You understand that Transcribe.so acts solely as a technical intermediary executing your download request and does not independently select, curate, or endorse the content

5.3 Prohibited Content. You may not process content that:

  • Is illegal, defamatory, obscene, or sexually explicit
  • Infringes on intellectual property rights
  • Contains malware or malicious code
  • Violates any person's privacy or publicity rights
  • Contains hate speech or promotes violence

5.4 Licence to Transcribe.so. When you submit content for processing, you grant Transcribe.so a limited, non‑exclusive, worldwide licence to:

  • Download, store, and process the content
  • Use AI models and algorithms to generate transcripts, summaries, embeddings, and other outputs
  • Store processed files and outputs in cloud storage (Amazon S3)
  • Display outputs to you through the Service interface

This licence terminates when you delete the content from your account, except for archival backups which may persist for up to 30 days.

5.5 Ownership of Outputs. You retain ownership of all transcripts, summaries, and other outputs generated from your content. We do not claim ownership of AI‑generated outputs derived from your content.

6. AI‑Generated Content & Accuracy

6.1 No Accuracy Guarantees. While we use industry‑leading AI models, we make no guarantees regarding the accuracy, completeness, or quality of transcripts, summaries, or other AI‑generated outputs.

6.2 Your Responsibility to Review. You are solely responsible for reviewing and verifying all AI‑generated content before relying on it. Do not use outputs for critical purposes without independent verification.

6.3 AI Limitations. AI models may:

  • Misunderstand speech, especially with accents, background noise, or technical terminology
  • Generate hallucinations or incorrect information in summaries and Q&A responses
  • Fail to properly identify speakers or entities
  • Produce biased or inappropriate content

6.4 Speaker Identification. Speaker diarization and identification features are experimental and may produce inaccurate results. Do not rely on speaker identification for legal, compliance, or security purposes.

7. Data Storage & Access

7.1 Cloud Storage. Processed audio, text files, and metadata are stored in Amazon S3 cloud storage. You acknowledge that your content is stored on third‑party infrastructure.

7.2 Forever Access. Subject to these Terms, you have ongoing access to your processed transcripts and files for as long as you maintain an account in good standing.

7.3 Account Deletion. If you delete your account or we terminate your access, your content and processed files will be deleted within 30 days, except as required by law or for legitimate business purposes.

7.4 Backups. We maintain backups for disaster recovery. Deleted content may persist in backups for up to 30 days.

8. Third‑Party Services & APIs

8.1 Third‑Party Dependencies. The Service relies on third‑party AI models, APIs, and services, including but not limited to:

  • OpenAI (GPT‑4o Transcribe, Whisper Large V3, GPT‑4.1, text‑embedding‑3‑large)
  • AssemblyAI (Universal, Universal‑3 Pro)
  • ElevenLabs (Scribe v2)
  • Google (Gemini)
  • Mistral AI (Voxtral Mini)
  • yt‑dlp (open‑source media downloader, used to download YouTube audio at your direction)
  • Proxy infrastructure providers (used to route yt‑dlp requests)
  • YouTube (video platform)
  • Amazon Web Services (S3 storage)
  • Stripe (payment processing)

8.2 Third‑Party Terms. You agree to comply with the terms of service of all third‑party platforms whose content you process, including YouTube's Terms of Service. You acknowledge that the use of yt‑dlp through proxy infrastructure to download YouTube audio is performed at your instruction, and you bear responsibility for ensuring such use complies with YouTube's Terms of Service and all applicable laws.

8.3 Service Availability. The availability and functionality of the Service depends on third‑party services. We are not responsible for outages, changes, or discontinuation of third‑party services.

9. Intellectual Property

9.1 Service IP. All Service software, algorithms (including proprietary NLP algorithms for topic detection), interface designs, and documentation are the intellectual property of Transcribe.so or its licensors and are protected by copyright, trademark, and other laws.

9.2 Restrictions. You may not:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Copy, modify, or create derivative works of the Service
  • Use automated tools to scrape or extract data from the Service
  • Remove or obscure any proprietary notices
  • Use the Service to build a competing product

9.3 Trademarks. "Transcribe.so" and associated logos are trademarks of Transcribe.so. You may not use our trademarks without prior written permission.

10. Feedback & Suggestions

If you provide feedback, suggestions, bug reports, or ideas to improve the Service, you grant Transcribe.so a worldwide, perpetual, irrevocable, royalty‑free licence to use, implement, and incorporate that feedback without any obligation or compensation to you.

11. Privacy & Data Processing

11.1 Privacy Policy. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

11.2 Analytics. We collect usage information—including IP addresses, device information, browser type, and usage patterns—to improve, secure, and personalize the Service.

11.3 AI Training. We do not use your content or processed outputs to train AI models unless you explicitly opt in to a data sharing program.

12. Service Availability & Support

12.1 Availability. We strive to maintain high availability but do not guarantee uninterrupted or error‑free service. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

12.2 Processing Times. Processing times vary based on content length, selected pipeline, and system load. We provide estimated completion times but do not guarantee specific processing speeds.

12.3 Support. We provide email support for account and billing issues. We do not guarantee response times or resolution of all issues.

12.4 Service Changes. We may modify, suspend, or discontinue any feature or functionality at any time with or without notice.

13. Disclaimers

13.1 "AS IS" BASIS. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

13.2 NO WARRANTIES. TRANSCRIBE.SO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF TRANSCRIPTS, SUMMARIES, OR OTHER OUTPUTS
  • UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE OPERATION
  • RESULTS OBTAINED FROM USING THE SERVICE
  • SECURITY OF DATA TRANSMISSION OR STORAGE

13.3 Third‑Party Services. WE DISCLAIM ALL LIABILITY FOR THIRD‑PARTY SERVICES, PLATFORMS, AND APIS.

14. Limitation of Liability

14.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSCRIBE.SO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages arising from unauthorized access to or alteration of your content
  • Damages resulting from third‑party services or AI model outputs
  • Damages from service interruptions, errors, or data loss

14.2 Liability Cap. TRANSCRIBE.SO'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

  • US $100, OR
  • The total amount you paid for credits in the 12 months preceding the claim

14.3 Essential Purpose. These limitations apply even if a remedy fails of its essential purpose and even if we have been advised of the possibility of such damages.

15. Indemnification

You agree to defend, indemnify, and hold harmless Transcribe.so, its officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising from or related to:

  • Your use of the Service, including your use of YouTube download functionality via yt‑dlp and proxy infrastructure
  • Your content or content you submit for processing
  • Your violation of these Terms
  • Your violation of any third‑party rights, including intellectual property, privacy, or publicity rights
  • Your violation of YouTube's Terms of Service or any other third‑party platform policies
  • Your violation of any laws or regulations

16. Account Termination & Suspension

16.1 Termination by You. You may terminate your account at any time through your account settings. Upon termination, any remaining monthly plan credits and wallet credits are forfeited (non‑refundable), and any active subscription is cancelled.

16.2 Termination by Us. We may suspend or terminate your account immediately, with or without notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your use harms the Service or other users
  • We are required to do so by law
  • We discontinue the Service

16.3 Effect of Termination. Upon termination:

  • Your access to the Service immediately ceases
  • All monthly plan credits and wallet credits are forfeited
  • Any active subscription is cancelled
  • Your content and processed files will be deleted within 30 days
  • Sections 4.7, 5.2, 5.4, 6, 9, 10, 11, 13, 14, 15, and 18 survive termination

17. Governing Law & Dispute Resolution

17.1 Governing Law. These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

17.2 Jurisdiction. You agree to submit to the exclusive jurisdiction of the Singapore courts for any disputes arising from or related to these Terms or the Service.

17.3 Informal Resolution. Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

18. Changes to These Terms

18.1 Right to Modify. We may revise these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on the Service with a new "Last Updated" date
  • Sending an email to the address associated with your account (if we have one)
  • Displaying a notice on the Service

18.2 Notice Period. For material changes that adversely affect your rights, we will provide at least 7 days' notice before the changes take effect.

18.3 Acceptance. Continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

19. General Provisions

19.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Transcribe.so regarding the Service.

19.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

19.3 Waiver. Our failure to enforce any provision does not waive our right to enforce it later.

19.4 Assignment. You may not assign or transfer these Terms. We may assign these Terms to any affiliate or successor without restriction.

19.5 No Agency. Nothing in these Terms creates a partnership, joint venture, or agency relationship.

19.6 Force Majeure. We are not liable for any failure or delay due to circumstances beyond our reasonable control.
